Terms of Service

Welcome to NoirStudio ("NoirStudio," "we," "our," or "us"). By accessing or using the NoirStudio platform, website, applications, content, audio assets, downloads, subscriptions, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not use the Services.

1. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use NoirStudio. By using the Services, you represent and warrant that you have the legal authority to enter into these Terms.

2. Account Registration

You may be required to create an account to access certain features.

You agree to:

• provide accurate information
• maintain the security of your account
• keep login credentials confidential
• accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts at any time for any reason.

3. Licensed Content

NoirStudio provides access to:

• music
• sound effects
• stems
• loops
• cinematic assets
• downloadable content
• scene packs
• creator-uploaded materials

All content remains protected by intellectual property laws.

Purchasing or downloading content does NOT transfer ownership rights.

Users receive a limited, non-exclusive, revocable, non-transferable license subject to these Terms.

4. Prohibited Uses

You may NOT:

• resell assets
• redistribute assets
• sublicense assets
• upload assets to stock platforms
• use assets to train AI systems or datasets
• claim ownership of assets
• mint assets as NFTs
• make assets publicly downloadable
• extract stems for resale
• use assets unlawfully

Violation may result in immediate termination and legal action.

5. Subscriptions

Subscriptions automatically renew unless canceled before the next billing cycle.

You authorize recurring billing through our payment provider.

We may:

• change pricing
• modify plans
• discontinue features
• suspend access for failed payments

NoirStudio is not responsible for overdraft fees, bank charges, or third-party payment processing issues.

6. Refunds

Due to the digital nature of the Services, all sales are generally final.

Downloaded digital products, subscription charges, and licensing fees are non-refundable except where required by law or granted at our sole discretion.

Chargeback abuse or fraudulent disputes may result in permanent account termination.

7. Commercial Licensing

Certain projects require separate commercial licensing.

Subscription access does NOT automatically grant rights for:

• television broadcast
• theatrical release
• national advertising
• large-scale commercial campaigns
• streaming platform productions

Commercial licensing must be approved separately by NoirStudio.

8. User Generated Content

Creators uploading content represent and warrant that:

• they own or control all necessary rights
• their uploads do not infringe third-party rights
• their content complies with applicable laws

NoirStudio may remove content at any time without notice.

You grant NoirStudio a worldwide, non-exclusive license to host, display, distribute, promote, and operate uploaded content through the platform.

9. DMCA / Copyright

If you believe content infringes your rights, submit a DMCA notice to info@noirmusic.shop.

We reserve the right to remove allegedly infringing content and terminate repeat infringers.

10. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE."

We make no guarantees regarding:

• uninterrupted access
• uptime
• availability
• licensing suitability
• revenue generation
• creator success
• compatibility
• error-free performance

Use of the Services is at your sole risk.

11. Limitation of Liability

To the maximum extent permitted by law, NoirStudio and its owners, affiliates, employees, contractors, licensors, and partners shall not be liable for:

• indirect damages
• lost profits
• lost data
• business interruption
• copyright claims
• third-party conduct
• unauthorized use
• service outages

Our total liability shall not exceed the amount paid by you to NoirStudio during the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless NoirStudio from claims arising from:

• your use of the Services
• your uploaded content
• your licensing violations
• your infringement of third-party rights
• your breach of these Terms

13. Termination

We may suspend or terminate access at any time without liability.

Upon termination:

• licenses may be revoked
• account access may end
• downloaded assets may no longer be authorized for future use beyond previously granted rights

14. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

15. Arbitration

Any disputes shall be resolved through binding arbitration in California.

You waive the right to participate in class actions or jury trials.

16. Changes to Terms

We may modify these Terms at any time.

Continued use of the Services constitutes acceptance of updated Terms.
